Terms & Conditions

These terms and conditions form a part of any and all Orders which we accept or execute; all Quotations given are subject to them. No variation of these terms or conditions will apply unless expressly agreed by AMECaL in writing. Where a Customer’s Order Form or other document contains or refers to conditions, such conditions will only apply to the contract insofar as they are not at variance with these conditions, and these conditions shall in all circumstances prevail.

Our Quotations are not offers and no contract is formal until we have received a Customer’s Order, Order Number and until Pricing has been agreed, verbally or in writing. Any Order submitted on the basis of a Quotation should refer to the Quotation. AMECaL Quotations are valid for 28 days, unless expressly stated otherwise.

Payment terms are: payment on order, collection or delivery unless credit has previously been agreed with AMECaL. Where payment terms have been agreed (via a Credit Application Form approved by AMECaL), payment is on a strictly 30-day basis from the date of collection or delivery, unless other terms of payment have been agreed by AMECaL, in writing, beforehand. AMECaL reserves the right to request payment in advance in relation to any order.

All provided specifications, illustrations and descriptions of AMECaL Products, in whatever format, are intended to give a general idea of the Products available and are subject to alteration. AMECaL reserves the right to substitute an alternative of similar specification at its discretion. All reasonable steps are taken to ensure the accuracy of Product information provided, but no liability is accepted for any errors or omissions.

Unless otherwise specifically ordered, any and all Goods will be supplied in accordance with the appropriate specification as shown on the relevant AMECaL Price List or Quotation. Where no specification is given, products will be provided in accordance with the recognised trade requirements. Save as aforesaid, the Company does not give any warranty nor shall any condition or warranty be implied into the contract concerning the quality or suitability of goods or their description - the conditions implied by Sections 13 and 14 of the Sale of Goods Act, 1893 are deemed to be expressly excluded.

AMECaL reserves the right to withdraw or amend prices and offers without notice.

All prices are subject to V.A.T. at the current rate.

Customers wishing to collect Goods in person from AMECaL’s office must state this at the time of ordering and on any Purchase Order. Once a collection time has been arranged, the Customer must collect the equipment within 10 working days of this time. If Goods are not collected within this period, and the Customer has not made contact to rearrange a collection time, the Company may charge the Customer a re-stocking fee of 20% of the value of the Goods ordered. Proof of Identity will be required when collecting Goods from AMECaL in person. Cash transactions will only be accepted in person.

Where Goods are transported to AMECaL, this is at the Customer’s own risk before delivery to AMECaL’s premises is completed (when delivery of goods is accepted by AMECaL).

Where Goods are dispatched from/by AMECaL, delivery will be made to the address specified by the Customer. The risk of damage to or loss of Goods will pass to the Customer when the Goods are unloaded from AMECaL’s carriers at the Customer’s premises. Ownership of supplied Goods shall not pass to the Customer until AMECaL has received in full (in cash or cleared funds) all sums due from the Customer to AMECaL.

The Customer must inspect any received Goods as soon as is reasonably practicable after delivery. AMECaL shall not be liable for any defect in the Goods delivered unless written notice is given to the Company within 10 days of the delivery date. The contents of any consignment of Goods, as recorded by AMECaL upon despatch, shall be deemed as conclusive evidence of the contents received by the Customer on delivery, unless the Customer can provide conclusive evidence to the contrary.

AMECaL will not be liable for any non-delivery of Goods or non-performance of Services unless written notice is given to AMECaL within 10 days of the date when Goods should have been delivered or the Services performed.

Orders which have been accepted, but not yet dispatched, may not be cancelled or otherwise altered unless AMECaL consents to such changes or cancellation. As a condition of giving consent, AMECaL may require payment of such a sum as to indemnify us against all loss (including loss of profit) which we may suffer as a result of such cancellation or alterations.

AMECaL will be entitled to cancel the Contract if the Customer shall be in arrears with payment for any other contract, or becomes insolvent, or goes into liquidation, or has a Receiver appointed, or suffers any execution or distress to be levied on its goods. Such cancellation by AMECaL shall be without prejudice to any claim which AMECaL may have against the Customer.

Except where the Customer is buying as a ‘Consumer’ (see below), no order can be cancelled or accepted for credit, once dispatched, without the prior written agreement of AMECaL. If cancellation/credit is accepted, the Customer must obtain a returns authorisation number from AMECaL prior to returning any Goods. Goods must then be returned, at the Customer’s risk and expense, for receipt by the Company within 10 days of their delivery. The Customer is responsible for providing proof of delivery of any such returns.

Goods returned for reasons other than defect, such as ‘unwanted’ or ‘incorrectly ordered’ Goods, must be in a completely undamaged and re-saleable condition, with the original packaging. Any such returns will be subject to a 20% re-stocking charge and any credits will only be made after the Goods have been received, inspected and confirmed as completely re-saleable. No credits will be issued for delivery charges. Certain Goods are excluded from this right of return - this includes, but is not limited to, software, opened manuals, specially constructed Goods, specially sourced Goods, static-sensitive Goods, Goods supplied in sealed packaging (if the blister or ‘peel’ packs in which they are supplied have been opened, tampered with or damaged). Any charges relating to calibration or repair services ordered are not refundable.

If the Customer is buying as a ‘consumer’, as defined in The Consumer Protection (Distance Selling) Regulations 2000, the Customer may, provided the Customer has taken reasonable care of the Goods and returns the Goods complete, undamaged, in re-saleable condition and in their original packaging, return the Goods and be repaid the price paid in respect of them within 7 working days (excluding Saturday and Sunday and any UK Bank Holiday) of their delivery. To return Goods on this basis, the Customer must notify the Company in writing and return the Goods, in their original packaging, within the 7 day period to AMECaL, quoting the order number and/or AMECaL Invoice number. Goods should be returned by Royal Mail First Class post with proof of posting and the Customer is responsible for the payment of all postage costs. In respect of certain Goods, AMECaL may prefer to arrange collection itself and, if requested, the Customer will allow AMECaL to collect the Goods and assist in the arrangements for the Goods’ collection. All reasonable costs of collection will be borne by the Customer. The Customer is responsible for the care and custody of the Goods pending return or collection. Following receipt of Goods which comply with this Condition, the Company will refund to the Customer the price paid in respect of the Goods. This Condition shall not apply to software that has been unsealed by the Customer.

Supplied Goods returned to us and found to have been defective when dispatched (or where work carried out on such items is found to have been defective) will be calibrated, repaired or replaced free of charge, but we cannot accept any liability for any costs or expenses nor any labour charges which may have been incurred either directly or indirectly by the Customer or any third party. We shall not incur any liability for consequential loss in any circumstances, whether or not the same may be due to negligence on the part of AMECaL or its agents.

We cannot accept responsibility if Goods ordered are the subject of any Patent, Registered Design, Trade Mark or Copyright. The placing of an Order shall be considered as an undertaking by the Customer to indemnify us against any loss or claim in respect of the infringement of any such Patent, Registered Design, Trade Mark or Copyright.

AMECaL shall not be liable to the Customer in any manner or be deemed to be in breach of these Conditions because of any delay in performing or any failure to perform any of AMECaL’s obligations under this Contract if the delay or failure was due to any cause beyond AMECaL’s reasonable control (including, but not limited to, government actions, war, fire, explosion, flood, import or export regulations or embargoes, labour disputes or inability to obtain or a delay in obtaining supplies of Goods or labour). AMECaL may, at its option, delay the performance of, or cancel the whole or any part of a Contract.
